What a ready-made company is in Romania

Buying a ready-made Romanian SRL means taking over an existing company through its shares. A sale to an outsider needs the approval of at least three quarters of the capital, unless the articles differ (art. 202(2) Law 31/1990, text of January 2024). No notary is required (art. 204(2)). Towards third parties, the buyer is a member from the ONRC entry (art. 203(2)).

The company's debts stay with the company (art. 3(1) Law 31/1990). A member answers only up to the subscribed capital (art. 3(3)). Every attribute in the list shows the position on the list date, and the law can change it. The table below shows how each one is kept. Older companies are described under an aged shelf company in Romania.

Registration year and J numberThe registration certificate shows the J number, the CUI and the EUID (art. 110(1) Law 265/2022, 2022 text). The J number may be reformatted at a later registered change.ONRC public data: name, seat, J number, EUID, CUI, status and legal representatives (art. 12(1) Law 265/2022).The date stays in the register. No statute read gives an older company a status of its own (our reading).
CUI (cod unic de înregistrare, the tax code)ANAF assigns it on the data ONRC sends (art. 126 Law 265/2022). It is used for the company's whole existence (art. 127(2)); the tax authority withdraws it ex officio when the company ceases to exist (art. 90(3) Fiscal Procedure Code).ONRC public data.A share transfer does not end the company, so the CUI does not change.
County and registered office (sediu social)The right to use the premises must last; its expiry is a dissolution ground found by ONRC (art. 237^2(1)(a) Law 31/1990). Providing a registered office is an activity Law 129/2019 regulates (art. 2(l)).ONRC public data shows the seat.A lease or hosting contract that keeps running. A free loan (comodat) of one year or less, with no secondary premises, is a VAT risk criterion (Annex 6 pt. 1.2).
Share capital500 lei for a new SRL (art. VI(2) Law 239/2025); 5,000 lei where net turnover in the previous year's accounts passed 400,000 lei (art. VI(1)). Registered SRLs reach the art. VI(1) figure by 18 December 2027 (our computation: two years from 18 December 2025 under art. VI(6), as of 23 October 2026), or the court can dissolve them (art. VI(8)).The constitutive act (act constitutiv). The text read sets no figure for an existing SRL at or below 400,000 lei turnover.
Main activity (CAEN object)The articles state the corporate object with its main activity (art. 7(c) Law 31/1990).The constitutive act. Whether the object covers a planned activity, an online shop for instance, is read there.A change is filed at ONRC as a registered change (mențiune) within 15 days of the act (art. 43(1) Law 265/2022).
VAT codeThe CUI with the prefix RO (art. 318(1) Fiscal Code). Cancelled after 6 consecutive months (2 quarters) with no return, or with returns showing no purchases and no supplies (art. 316(11)(d)-(e)).ANAF's register of VAT-registered persons by fiscal code, and the public register of cancelled registrations (art. 316(15)).A VAT return by the 25th of the month after the period (art. 323(1)), showing real purchases or supplies. Survival through a transfer is not promised.
Romanian bank accountEvery legal person holds a payment account in Romania or at the State Treasury from 1 January 2026 (Law 70/2015 as amended by Law 239/2025). Having none is an inactivity ground (art. 92(1^2)(a) Fiscal Procedure Code). The bank's own checks; we found no public register of company bank accounts. An account held throughout. Whether a listed account passes with the shares is the bank's decision.
No arrears on the ANAF certificateThe tax certificate (certificat de atestare fiscală) shows overdue obligations in the balance on the last day of the month before the request, still unpaid on issue (art. 158(2) Fiscal Procedure Code). The certificate, which the seller or the buyer may request (art. V(2) Law 239/2025): issued within 3 working days, usable up to 30 days (art. 158(5)).Obligations paid when due. The certificate shows arrears, not what a later tax audit may assess.
Status and inactivityThe register shows insolvency, bankruptcy and temporary interruption of activity (art. 3(1)(i) Law 265/2022). Annual accounts more than 5 months late are an inactivity ground (art. 92(1^2)(b) Fiscal Procedure Code).ONRC public data, and ANAF's register of inactive taxpayers by fiscal code or name.Accounts filed on time and a payment account held. A company declared inactive and not reactivated within one year is dissolved (art. 92(4^1)).

A VAT code held or a VAT code applied for

The two routes to a VAT code, step by step, with the rule behind each cell. The table states conditions; the choice is a conversation.
StepA listed company that holds a VAT codeA company without a code (a shelf without VAT, or a new SRL)
Before payingCheck the VAT register and the register of cancelled registrations. Read the last six monthly or two quarterly returns: they must show real purchases or supplies (art. 316(11)(d)-(e) Fiscal Code).Registration is compulsory where turnover is expected above the 395,000 lei ceiling (art. 310(1) and 316(1)(a) Fiscal Code); below it, the company may opt in at any time (art. 310(3)).
RequestNo request is needed. The company applies, at the latest on the day it passes the ceiling (art. 316(1)(b)). The ceiling rose from 300,000 lei on 1 September 2025 (OG 22/2025).
ANAF's decisionNone.A general term of 45 days from registration; while ANAF obtains further evidence it is extended by the time that takes, up to 2 months (from the taxpayer), 3 months (from Romanian authorities or third parties) or 6 months (from foreign tax authorities) (art. 77(1)-(2) Fiscal Procedure Code). An opt-in runs from the date of the request (art. 316(1^1)(c) Fiscal Code).
Risk analysisThe text ties the analysis of art. 316(9) to a registration under art. 316(1). High fiscal risk remains a cancellation ground for any registered company (art. 316(11)(h)).A risk analysis follows the registration (art. 316(9)), against the five Annex 6 criteria: the seat, staff, the person keeping the accounts, mismatches in returns, a foreign administrator.
What the buyer bringsThe buyer's fiscal record counts once they hold at least 50% (norms pt. 88(18)). A foreign administrator without Romanian tax residence, with capital below 45,000 lei, meets one criterion ANAF assesses (Annex 6 pt. 5.1).The same Annex 6 criteria apply once the company is registered.
First refundAn advance tax audit follows the first refund claim after registration (art. 169(3)(d) Fiscal Procedure Code), and since Order 1123/2026 also after a re-registration. Whether an older company that never claimed is still on its first claim is a reading of the text.An advance tax audit follows the first claim (art. 169(3)(d) Fiscal Procedure Code).
Keeping the codeReturns by the 25th with real transactions (art. 323(1) Fiscal Code); a Romanian payment account and annual accounts on time. The same.
TimeNo statutory term applies to a code already held. The general 45-day term above; no time of ours is given.

What the transfer file contains

Each item names who drafts it or who files it.

  • The transfer deed, drafted by a Bar-registered lawyer (art. 3(1)(c) Law 51/1995).
  • Outsider sale approval: at least three quarters of the capital, unless the articles differ.
  • The new administrator's appointment and the updated constitutive act, drafted by the same lawyer.
  • The beneficial-owner declaration (beneficiar real, art. 56(1) Law 129/2019).
  • The ANAF tax certificate and the local-tax certificate of the seat.
  • The ANAF notice: filed by the seller, buyer or company; we prepare the file.
  • The ONRC filing of the changes (mențiuni), by the representative, a lawyer or a notarised attorney.
  • Foreign documents with apostille or superlegalisation, unless a treaty or EU rule removes the formality.
  • Always, a legalised Romanian translation of each foreign document (art. 76 Law 265/2022).
  • Identity documents of every buyer and every beneficial owner.

Eight steps from a Request to the ONRC entry. Only statutory clocks are drawn; the ANAF notice and the ONRC filing run from the act.
  1. Request a listing

Press Request on a row. The enquiry form opens with its reference, and the conversation starts from that company and its papers.

  2. Run the free checks

Before paying anything, you search ONRC public data, ANAF's register of inactive taxpayers and ANAF's VAT register by fiscal code.

  3. Establish identity

We record the identity of the buyer and of the beneficial owner from the buyer's documents. This is for the declaration under art. 56(1) Law 129/2019.

  4. Tax certificates

ANAF issues its certificate within 3 working days, and you can use it for up to 30 days (art. 158(5) Fiscal Procedure Code). You also need the local-tax certificate (art. 159(3)). See the tax clearance of a Romanian company.

  5. Draft and sign

A Bar-registered lawyer drafts the deed for the transfer of SRL shares. The parties sign it, and no notary is needed.

  6. Notify ANAF

The seller, the buyer or the company notifies ANAF within 15 days of the transfer (art. V(1)(a) Law 239/2025). An accountant or lawyer can act for them. We prepare the file.

  7. ONRC filing

The representative, a lawyer or a notarised attorney files the change within 15 days of the act (art. 43(1) Law 265/2022). The registrar decides within one working day. Incomplete files get up to 15 calendar days (2022 text).

  8. Entry and the first months

The buyer is a member towards third parties from the ONRC entry. A posted guarantee is enforced if arrears stay unpaid 60 days after registration (art. V(4) Law 239/2025).

How the VAT code, the payment account, the accounts position and the active status are lost, and what keeps each one.

VAT code

ANAF cancels it after 6 consecutive months without returns or with nil returns. It also cancels it for fiscal-record offences of a majority or sole shareholder, administrators or the company (art. 316(11) Fiscal Code). Returns with real transactions keep it. We never promise that it survives a transfer.

Romanian payment account

Every legal person must hold one in Romania or at the State Treasury from 1 January 2026 (art. 1(1^2) Law 70/2015). The fine is 3,000 to 10,000 lei (art. 12(4)). Having no account is also an inactivity ground. You keep it by holding an account throughout.

Annual accounts

Accounts more than 5 months late are an inactivity ground (art. 92(1^2)(b) Fiscal Procedure Code), declared from 1 January 2026. Filing on time keeps the position. Company staff or a CECCAR member keep the books.

Inactive status

If the company is not reactivated within one year, it is dissolved (art. 92(4^1) Fiscal Procedure Code). While it is inactive, the company and its customers lose expense and input-VAT deductions (art. 11(6)-(7) Fiscal Code). ANAF's register is public.

The ANAF notice and the guarantee

Since OUG 13/2026 (9 March 2026), ANAF must be notified of every SRL share transfer within 15 days. If there are arrears, a guarantee is shown at ONRC. We describe the procedure of the adopted order from the draft of 2 July 2026.

The attributes the law can remove are kept by real-transaction returns, a payment account held and accounts filed on time.

Frequently asked questions

Is buying a shelf company a good idea?

We give no view on any buyer's case. The law fixes three points. The company's debts stay with it (art. 3(1) Law 31/1990). The buyer is a member towards third parties only from the ONRC entry (art. 203(2)). Most listed attributes can be checked before paying, in free public registers. Whether it fits a plan is a conversation.

What happens if the company owes tax?

The debts stay with the company (art. 3(1) Law 31/1990). Since OUG 13/2026, a transfer of any SRL member's shares needs a guarantee if arrears are outstanding. The guarantee follows art. 211(a)-(b) Fiscal Procedure Code and is shown at ONRC. ANAF enforces it if the arrears are unpaid 60 days after the registration (art. V(4) Law 239/2025).

What does an ANAF tax certificate prove about a company?

That no overdue obligation stood in the balance on the last day of the month before the request and remained unpaid on issue (art. 158(2) Fiscal Procedure Code). It is issued within 3 working days and usable up to 30 days (art. 158(5)). It shows arrears, not what a later tax audit may assess.

Does the VAT code come with the company and stay?

The company continues, but no text says its VAT code survives the transfer. The code is cancelled after 6 consecutive months (2 quarters) without a return or with returns showing no transactions. It is also cancelled when the company is declared inactive, or for offences in the fiscal record of a majority shareholder or an administrator (art. 316(11) Fiscal Code).

Can a ready-made company be declared inactive?

Yes. From 1 January 2026, a company with no payment account in Romania or at the State Treasury can be declared inactive. Annual accounts filed more than 5 months after the deadline are the other ground (art. 92(1^2) Fiscal Procedure Code). If it is not reactivated within one year it is dissolved. ANAF's register of inactive taxpayers is public.

Does the bank account pass with the shares?

Company law does not answer it. The bank decides on a new owner under its own know-your-customer rules. A listing that shows an account therefore promises nothing about its future. The law only requires every legal person to hold a payment account in Romania or at the State Treasury from 1 January 2026 (art. 1(1^2) Law 70/2015).

Is a shelf company with a small capital a problem?

A new SRL needs 500 lei (art. VI(2) Law 239/2025). An SRL above 400,000 lei net turnover needs 5,000 lei (art. VI(1)). Registered SRLs must reach it by 18 December 2027 (our computation under art. VI(6), as of 23 October 2026). It names no figure for an existing SRL below that turnover; that point is not settled.

Do I need a notary to buy a shelf company in Romania?

No. The authentic form of an amendment is compulsory in only three cases (art. 204(2) Law 31/1990, text of January 2024). A share transfer is not one of them. A Bar-registered lawyer drafts the transfer deed, the amended constitutive act and the resolutions (art. 3(1)(c) Law 51/1995).

Can I buy without travelling to Romania?

The ONRC application is signed by hand or by qualified electronic signature. An attorney under a notarised power of attorney, or a lawyer under mandate, may file it (art. 36(1) Law 31/1990). Foreign official documents need an apostille or superlegalisation unless a treaty or EU rule removes the formality, always with a legalised Romanian translation (art. 76 Law 265/2022).

When do I legally own the company?

The buyer is a member towards third parties only from the ONRC entry of the transfer, not from the signing (art. 203(2) Law 31/1990, text of January 2024). Third parties include banks, ANAF and counterparties. The entry follows the filing of the change, which is due within 15 days of the act (art. 43(1) Law 265/2022).

How long does the transfer take?

We give statutory terms only. A change is filed within 15 days of the act (art. 43(1) Law 265/2022). The registrar decides within one working day, and an incomplete file gets up to 15 calendar days (2022 text, later amendments not read). The ANAF tax certificate takes up to 3 working days. No overall time is promised.

How can I search for companies registered in Romania and check a Romanian VAT number?

ONRC publishes free the name, seat, J number, EUID, CUI, status and legal representatives of every company (art. 12(1) Law 265/2022). You search ANAF's register of inactive taxpayers by fiscal code or name, and its VAT register by fiscal code. A Romanian VAT code is the CUI with the prefix RO.

What is the VAT registration threshold in Romania, and what is the VAT certificate?

The threshold is 395,000 lei of annual turnover (art. 310(1) Fiscal Code). It rose from 300,000 lei on 1 September 2025 (OG 22/2025). Below it a company may opt in at any time. The Fiscal Code refers to a VAT registration certificate and requires changes to its data to be reported within 15 days (art. 316(18)).

Does a Romanian SRL need a VAT representative?

The fiscal-representative rule (art. 316(7) Fiscal Code) makes a representative compulsory for taxable persons not established in the EU. For those established in the EU it is optional. On our reading, it does not address a Romanian SRL. Representation before ANAF is tax consultancy (art. 3(1) OG 71/2001), which this site does not sell.

What is an SRL in Romania?

A societate cu răspundere limitată, a limited liability company. Its members answer only up to the subscribed capital (art. 3(3) Law 31/1990). Its shares pass to an outsider by a transfer approved by at least three quarters of the capital, unless the articles differ (art. 202(2)). Its constitutive act states the corporate object with its main activity (art. 7(c)).
