Crypto Licence in Romania, the CASP Authorisation on an SRL

Updated 23 October 2026

The authorisation is granted to the company that applies, and never sold with a shelf. We supply and fit the Romanian SRL and prepare its corporate file. You apply.

  • Granted to the applicant company, not sold with a shelf
  • Capital classes of EUR 50,000, 125,000 or 150,000
  • Statutory decision term of 40 working days from a complete file
  • EU transitional period ended on 1 July 2026

The company is Romanian. The authorisation is the applicant's own.

The authorisation is granted to the company that applies

Under Regulation (EU) 2023/1114 (MiCA), only two kinds of firm may provide crypto-asset services (art. 59(1)). One is an authorised crypto-asset service provider (CASP, furnizor de servicii de criptoactive). The other is a listed financial entity notifying under art. 60. The applicant applies to the competent authority of its home member state. That authority grants the authorisation (art. 62(1), 63). A ready-made Romanian SRL holds none, so no licensed company comes off the shelf.

We supply a ready-made SRL or coordinate incorporating a new Romanian SRL. Then we prepare the corporate file. A Bar-registered lawyer drafts the acts, and the applicant files. Shares and authorisation also meet after the grant. The authority first assesses any buyer of 10% or more of an already authorised CASP. It does so within up to 60 working days (art. 83 MiCA).

The shares change hands; the authorisation comes only from an application (art. 63 MiCA).

As at October 2026: the EU transitional period is over, as the ASF relayed. We did not find the national act that applies MiCA in an official source. The Ministry of Finance draft implementing ordinance of 23 May 2025 names the ASF as the authority (draft).

What the service includes

Seven parts. The price of our work is on request.

A vehicle for the application

A ready-made SRL or a new one, with its facts and no authorisation attached. See the Romanian SRLs on the current list with their prices.

The history read before purchase

The tax certificate (certificat de atestare fiscală) comes first. ANAF issues it within 3 working days, and it is usable for 30 days (art. 158(5) Fiscal Procedure Code). Under the draft ordinance, overdue ANAF taxes would bar an applicant.

The transfer or the registration coordinated

For the transfer of SRL shares, a Bar-registered lawyer drafts the deed, with no notary. The seller, buyer or company notifies ANAF within 15 days (OUG 13/2026).

The changes that fit the company

The object of activity covers the services. The name stays neutral. The director is the client's own and is resident in the Union. Each change is filed at ONRC as a mențiune (registered change) within 15 days of the act.

Readiness on money

We keep in view a Romanian payment account. We also watch own funds or an insurance policy at the class level. The account itself is the bank's decision.

The application file, prepared

We prepare the 19 items of art. 62(2) MiCA. We add the repute evidence for directors and qualifying shareholders. We also draw up a calendar of the terms set by law. All of it goes to the lawyer and the client's advisers.

What stays outside

We do not get the authorisation itself, file with the authority or act for you before it. We supply no director or shareholder, and we do no bookkeeping, payroll or tax advice. Those stay with the applicant and the professions.

How the process works

MiCA's terms are the legal maximums, not durations we promise.

  1. Scope the business

The services chosen fix the Annex IV class. A quarter of the previous year's fixed overheads applies if higher (art. 67 MiCA). The client decides, with its advisers.

  2. Choose the vehicle

A ready-made or a new SRL. We read a shelf's tax certificate before signing. The client chooses, and we coordinate.

  3. Transfer or register

The lawyer drafts. The seller, buyer or company notifies ANAF within 15 days (art. V Law 239/2025). The ONRC filing is due within 15 days of the act (art. 43(1) Law 265/2022, 2022 text).

  4. Fit the company

Set the object of activity and the management. Keep the name neutral until the grant. The future brand may call for registering a trademark in Romania. Each change is a mențiune.

  5. Fund the company

The company needs a Romanian payment account. It also needs own funds or insurance at the class level. The SRL's capital social (share capital) is a separate figure under MiCA.

  6. Build the application

Prepare the 19 items, the repute evidence and the foreign documents in their required form. Under the draft only, an IT opinion from the ADR, Romania's digitalisation authority, comes first.

  7. File

The applicant files with the authority. It acknowledges receipt within 5 working days. It checks completeness within 25. It decides within 40 working days of a complete file. The clock can stop for at most 20 working days (art. 63).

  8. After the grant

The provider enters the ESMA interim MiCA register. It must use the authorisation within 12 months. It gives prior notice of any new director. It may serve the Union by passport (art. 64, 69, 59(7) MiCA).

Documents you will need

A guide only, read from art. 62 MiCA and the register rules. We did not find the authority's own list.

  • The 19 application items of art. 62(2), among them the programme of operations.
  • Technical documentation of the ICT systems and security arrangements.
  • Repute evidence for every director and qualifying shareholder, criminal record included.
  • Proof of the directors' knowledge, skills and experience.
  • Identity of direct and indirect qualifying shareholders, with the size of their holdings (art. 62(2)(h)).
  • Evidence of own funds or an insurance policy at the class level.
  • The shelf's tax certificate: the draft ordinance would bar an applicant with overdue ANAF taxes.
  • The transfer deed and members' resolution, drafted by a Bar-registered lawyer.
  • Foreign documents at ONRC: apostille or superlegalisation unless a treaty or EU rule removes this step.
  • A legalised Romanian translation of each foreign official document.

Capital classes and statutory terms under MiCA

The safeguards are the higher of two amounts: the Annex IV amount or a quarter of the previous year's fixed overheads. They are held as own funds or an insurance policy (art. 67 MiCA).

The SRL's share capital is a different figure. It is 500 lei for a new SRL and 5,000 lei above 400,000 lei of net turnover (art. VI Law 239/2025). It is not settled whether the adopted Romanian act will require it to reach the Annex IV amount.

The CASP route next to the BNR routes

The BNR authorises payment institutions (art. 9 Law 209/2019). It also authorises e-money institutions (art. 7 Law 210/2019), as its registers page shows.

Listed financial entities may provide crypto-asset services by notifying under art. 60 MiCA. An e-money institution may provide only custody and transfer services for the e-money tokens it issues (art. 60(4)). The table sets the regimes side by side and ranks none.

Problems we solve

Where a crypto project on an SRL can stall, and what we check for.

A shelf with hidden debts

The tax certificate is requested first and shows any arrears. Under the draft ordinance, overdue ANAF taxes or cazier fiscal (tax-offence record) entries would bar the application.

A name that suggests a licence

Only a CASP may use a name or marketing suggesting that it is one (art. 59(5) MiCA). The company's name therefore stays neutral until the grant.

500 lei read as the capital

A new SRL has 500 lei of share capital. The MiCA safeguards are EUR 50,000 to 150,000, as own funds or insurance. These are separate figures. It is not settled whether the adopted act links them.

Foreign documents refused

Each foreign official document filed at ONRC needs an apostille or superlegalisation, unless a treaty or EU rule removes this step. It always needs a legalised Romanian translation (art. 76 Law 265/2022).

Management outside the Union

MiCA asks for the place of effective management to be in the Union (art. 59(2)). At least one director must be resident there. The director is the client's own appointment; we supply none.

Want the SRL read against the application before you buy it?

Send the company's catalogue reference or its details. The reply covers its tax certificate, object of activity, name and what the file still needs.

Frequently asked questions

Can I buy a Romanian company that comes with a crypto licence?

Not from a shelf. A ready-made SRL holds no authorisation. MiCA grants it to the legal person that applies (art. 59, 63). A company may already hold one. Then the authority first assesses any buyer of 10% or more of its capital or voting rights. It does so within up to 60 working days of the written acknowledgement (art. 83).

Do you apply for the licence on my behalf?

No. The applicant submits the application to the competent authority of its home member state (art. 62(1) MiCA). We supply and fit the SRL and prepare the corporate file. We coordinate the Bar-registered lawyer who drafts the acts (art. 3 Law 51/1995). We do not file with the authority or represent the client before it.

Can I still operate under the transitional period?

No. The EU transitional period ended on 1 July 2026 (art. 143(3) MiCA). It covered providers active under national law before 30 December 2024. ESMA asked providers with no authorisation to wind down their EU business in an orderly way. It also asked them to stop taking new clients. The ASF relayed the announcement.

Who issues the crypto licence in Romania?

MiCA sends the application to the competent authority of the home member state (art. 62(1)). The Ministry of Finance draft implementing ordinance of 23 May 2025 names the ASF (draft). We did not find the adopted act in an official source. The ASF's site map showed no MiCA section on 15 October 2026.

How do I get a crypto licence in Romania, step by step?

First, choose the services, which fix the capital class (Annex IV MiCA). Then buy or incorporate an SRL with its effective management and at least one director in the Union (art. 59(2)). Fund it. Prepare the 19-item application of art. 62(2) and file it with the authority. We coordinate the corporate steps.

How much does a MiCA licence cost in Romania?

The statutory safeguards, held as own funds or insurance, are EUR 50,000, 125,000 or 150,000 by the services offered (art. 67, Annex IV MiCA). A quarter of fixed overheads applies if higher. No authority fee schedule was found. The draft adds an ADR tariff with no figure and a 0.5% monthly fee, both draft only. Our fee is on request.

How long does the authorisation take?

Under art. 63 MiCA, the authority acknowledges the file within 5 working days. It checks completeness within 25. It decides within 40 working days of a complete file, plus at most 20 working days of clock stop. Preparing the file, and any draft pre-filing step such as the ADR opinion, comes before the clock starts. We promise no overall time.

Do I need to live in the EU or in Romania?

MiCA asks for at least one director resident in the Union (art. 59(2)). The place of effective management must also be in the Union. The registered office is in a member state where part of the services is provided. We found no official source on whether the Romanian authority will expect more local presence.

Is the SRL's share capital the same as the MiCA capital?

Under MiCA, no. The SRL minimum is 500 lei for a new SRL and 5,000 lei above 400,000 lei of net turnover (art. VI Law 239/2025). The MiCA safeguards are the higher of the Annex IV amount and a quarter of fixed overheads, as own funds or insurance (art. 67). Whether the adopted Romanian act links them is not settled.

Can a shelf company with a history apply?

MiCA itself asks for repute evidence of directors and qualifying shareholders (art. 62(3)). Under the draft ordinance only, the applicant may have no overdue taxes administered by ANAF. Nor may it, its qualifying shareholders, administrators or legal representatives have cazier fiscal entries. The tax certificate, issued within 3 working days, shows the arrears.

Can the company use "crypto" in its name before it is authorised?

A person that is not a CASP may not use a name, a corporate name or marketing communications suggesting that it is one (art. 59(5) MiCA). The name therefore stays neutral until the grant. A later name change is a mențiune filed at ONRC within 15 days of the act (art. 43(1) Law 265/2022, 2022 text).

How is crypto taxed in Romania?

An individual pays 16% on the gain from transferring virtual currency. A gain under 200 lei per transaction is untaxed if the year's total stays within 600 lei (art. 116(2^1) Fiscal Code). A company pays the Romanian profit tax at 16%. We did not check micro-enterprise eligibility. CASPs report client transactions to ANAF from 2026. General information, not tax advice.

Is a payment or e-money licence an alternative to a CASP authorisation?

It is a different regime. The BNR authorises payment institutions and e-money institutions (Law 209/2019, Law 210/2019). EU minimum capital is EUR 20,000 to 125,000 for a payment institution. The BNR decides within 3 months of a complete application. It is EUR 350,000 for an e-money institution. Listed financial entities may provide crypto-asset services by the art. 60 MiCA route.

What happens after the authorisation is granted?

The authority withdraws it if unused for 12 months, or if no services are provided for nine consecutive months (art. 64(1)(a), (c)). New directors are notified first. A buyer of 10% or more needs an assessment. The provider appears in the ESMA register and may serve the Union by passport. A 0.5% monthly fee is draft only.
