Romania Company Register Search, What Each Check Shows

> The Romanian company register is the Trade Register (registrul comerțului), public by law and kept by ONRC. This Romania company register search guide covers an existing company, not registering a new one. A free search shows identity, office, numbers, status and representatives. Debts, owners and filed acts sit in other lists, paid documents or with the seller.
What is the Romanian company register, and who keeps it?
Romania company register, Romania trade register, commercial register, business register and company registry all mean one thing, the Trade Register (registrul comerțului). It is public by law (art. 11(1) Law 265/2022, 2022 text, later amendments not read). The Oficiul Național al Registrului Comerțului (ONRC, the National Trade Register Office) keeps it. ONRC is a public institution under the Ministry of Justice (art. 19). It has county offices at the tribunals (art. 20(1)).
This guide covers looking up a company that already exists, not registering a new one. Registrations and mentions (mențiuni, registered changes) bind third parties from their entry. Where the law so provides, they bind from publication in the Official Journal or the electronic Bulletin instead (art. 46(1)). For a buyer, this matters. A share transfer has effect against third parties only from its entry (art. 203(2) Law 31/1990, text of January 2024). A search the day before therefore still shows the seller. See the transfer of SRL shares.
Which checks can you run on a Romanian company?
A Romania company check has three layers. The first is free public searches that anyone can run. The second is paid documents that ONRC issues on request. The third is what belongs to the seller or sits behind an access tier. A so-called company registration check is a search of the register itself.
Three layers of a Romanian company check
Free public searches
layer 1
- The ONRC free set
- BRIS
- The Bulletin
- The ANAF VAT, inactive and arrears pages
- The Ministry of Finance lookup
- The courts portal
- cannot showthe object of activity, arrears below the threshold
Paid ONRC documents on request
layer 2
- The extract
- The negative certificate
- Copies
- cannot showthe position after its date
Seller-side or restricted items
layer 3
- The tax certificate with the company’s consent
- The beneficial-owner register by access tier
- cannot shownot open to the general public
Each layer has a blind spot. No layer alone clears a company. The section on what each check proves gathers the blind spots in two tables.
Which numbers do you search with?
A company must put its name, legal form, registered office, trade-register number and CUI on the documents it uses in commerce (art. 74(1) Law 31/1990). They include invoices, offers, orders, tariffs and prospectuses. The keys therefore come from the seller's commercial documents. Search by CUI where you can. The company uses it for its whole existence, while a J number can appear in two forms. More on both numbers: the registration number of a Romanian company.
The exact name and legal form
Use the name exactly as the company's papers print it, with its legal form. The free ONRC set carries both (art. 12(1)).
The J number
The număr de ordine în registrul comerțului, written J number here, has two forms in ONRC's open data of 9 January 2026, read in part. One is the older form: letter, county code, sequence and year. The other is a 14-character form. Both forms coexist in that file.
The CUI
The cod unic de înregistrare is used for the company's whole existence (art. 127(2) Law 265/2022). It is withdrawn only when the company ceases to exist (art. 90(3) Fiscal Procedure Code). A share transfer does not change it. No text we read says the VAT code survives a transfer.
The EUID
The identificator unic la nivel european. The section on searching from another EU country gives the detail.
What does the free ONRC search show, and what does it leave out?
ONRC publishes this company information free on its website or online services portal and through BRIS (art. 12(1) Law 265/2022). The free set holds:
- Name and legal form
- Registered office
- J number, EUID and CUI
- Status (starea), for example în funcțiune (active), dizolvată (dissolved), în lichidare (in liquidation), în insolvență (in insolvency) or în faliment (bankrupt) (art. 3(1)(i))
- Website, if any
- Legal representatives, and whether they act jointly or separately
- Branches in other member states
The free set leaves things out. The object of activity goes free through BRIS only to other member states' authorities (art. 12(3)). The set holds no filed acts and no debts. The personal data shown about shareholders and directors stop at name, date and place of birth, citizenship and state of residence (art. 13). Law 222/2023 added a further item to the list. We have not read it. We have not read the portal's screens either, so this guide describes none. RECOM and InfoCert are names the market uses for ONRC's online services. We have not read their official description and do not define them.
How do you get an ONRC extract, the certificat constatator?
On request and at the requester's expense, ONRC issues information and extracts of the registered data in Romanian (art. 11(1) Law 265/2022). They are called certificate constatatoare, singular certificat constatator. Anyone may ask.
Choose the document
The extract, the negative certificate (that an act or fact is not registered) or copies of filed acts (art. 11).
Choose the channel
At the desk, by post or courier, or by electronic means (art. 11(2)).
Identify the request
Send a copy of an ID document, unless the request is signed with a qualified electronic signature (QES).
Receive the document
Electronically, signed with a qualified signature or seal, or on paper at the office or by post (art. 11(3)).

The Minister of Justice sets the tariff by order, in tiers capped at administrative cost (art. 11(7)). We read no figure and no issue term, and print none. The certificat de înregistrare (certificate of registration) is a different document. It is the company's own. It carries the J number, CUI and EUID (art. 110(1)) and attests legal personality (art. 127(1)). It is the nearest thing to a certificate of incorporation, so a third party orders the extract instead.
How do you search a Romanian company from another EU country?
The Romanian trade register is part of BRIS, the Business Registers Interconnection System (art. 9(1) Law 265/2022). The European access point is the e-Justice portal and, nationally, the central trade register (art. 9(2)). ONRC's information and electronic copies are also made available to the public through BRIS (art. 11(5)).
The EU sets a minimum that member states must make free through BRIS. It includes status: closed, struck off, wound up, dissolved, or economically active or inactive where recorded (art. 19(2) of Directive (EU) 2017/1132 as replaced by Directive (EU) 2019/1151). A state may keep the website and the object free only for other states' authorities (art. 19(4)). Romania used the option for the object only (art. 12(3) Law 265/2022).
The EUID is built from the member state, the domestic register and the company number (art. 16(1)). The BRIS technical rules give four elements, and the verification digit is optional (Implementing Regulation (EU) 2021/1042, Annex, section 9). A Ministry of Justice order sets the Romanian structure. We have not read that order (art. 10 Law 265/2022). In ONRC's open data of 9 January 2026, read in part, it reads ROONRC. plus the J number as printed. We have not read the live e-Justice page and describe no screen.
Buying an existing Romanian company?
The public record is only the first layer of the checks before a purchase. Ask us what the full pack covers.
Who owns the company, and who can see it?
ONRC also keeps the beneficial-owner register (registrul beneficiarilor reali, RBE) of the companies registered at the trade register (art. 17(1) Law 265/2022). See also art. 19(5)(a) Law 129/2019, as consolidated to Law 86/2025.
Three tiers can see it. Authorities and ONPCSB, the anti-money-laundering supervisor, see it without restriction and without alerting the person concerned (art. 19(8)(a)). Obliged entities (entități raportoare), such as banks, notaries and lawyers, see it when applying customer due diligence (art. 19(8)(b)). They may not rely on it alone (art. 19(10)). Anyone able to show a legitimate interest (interes legitim) can see it (art. 19(8)(c)), after online registration and a fee. The Minister of Justice sets the fee by order (art. 19(8^2)). We have not read that order. This tier sees name, month and year of birth, citizenship, country of residence and the nature and extent of the interest (art. 19(9)).
Three access tiers to the beneficial-owner register
Authorities
tier 1
- Without restriction
Obliged entities
tier 2
- When applying customer due diligence
Any person or organisation able to show a legitimate interest
tier 3
- Online registration
- A fee
The general public stands outside since the judgment of 22 November 2022
The general public stands outside since the Court of Justice judgment of 22 November 2022 in Joined Cases C-37/20 and C-601/20. The declaration is filed at ONRC, not at ONPCSB (ONPCSB's own FAQ). After a purchase it is updated within 15 days of the change (art. 56(3)). A missing declaration is fined 5,000 to 10,000 lei. It can end in dissolution if it is still missing 30 days later (art. 57(1)-(2)). The update has its own guide, the beneficial-owner declaration page.
Which ANAF lists and Ministry of Finance lookups are free?
ANAF and the Ministry of Finance publish lookups of their own. None is the Trade Register. ANAF's web services give machine access to its VAT and inactive registers. They also give access to public annual-account indicators that stop at 2019, so they are no route to recent accounts. The blind spots below apply to the registers too.
The VAT register
ANAF's VAT register is searched by fiscal code, with a captcha. Registered and cancelled VAT registrations are both public (art. 316(15) Fiscal Code). A cancellation is entered within 3 days of the communication of the decision. A taxpayer declared inactive loses its VAT code (art. 316(11)(a)).
The inactive-taxpayers register
ANAF's inactive-taxpayers register is searched by fiscal code, or by name and county. It is public by law (art. 92(11) Fiscal Procedure Code). Grounds include no declaration of any kind for a calendar half-year (art. 92(1)(a)). Law 239/2025 added two more grounds: no payment account in Romania, and accounts filed more than 5 months late. A taxpayer not reactivated within a year is dissolved (art. 92(4^1)).
The dissolution lists
The Bulletin lists companies inactive for more than a year at least 5 calendar days before the registrar is notified (Law 239/2025 art. VIII(2)). Dedicated sections of the ONRC and ANAF websites list them too. We have not checked their addresses or whether any list has appeared.
The arrears list
The arrears list is quarterly. The page read on 13 October 2026 showed arrears as at 30 June 2026. It omits debts below 500,000 lei for large taxpayers, 250,000 lei for mid-size taxpayers and 100,000 lei for every other debtor. A small SRL's arrears below 100,000 lei therefore never show. It is not a company's tax position.
The Ministry of Finance lookup
The Ministry of Finance lookup, Informații fiscale și bilanțuri, is searched by CUI or by name and county. It gives registration data, filed declarations, six years of balance sheets and operative records of arrears to the state budget.
What do the Trade Register Bulletin and the courts portal add?
The Trade Register Bulletin (Buletinul electronic al registrului comerțului) is free to publish in and to consult (art. 15(4) Law 265/2022). Registrar decisions reach it within 3 working days of the entry (art. 15(2)-(3)). Dissolution and strike-off decisions and liquidator appointments are free to view (art. 237(12) Law 31/1990, text of January 2024).

A list of companies the registrar will find dissolved ex officio is posted at least 15 calendar days before (art. 237^2(2)). An expired right to use the registered office is one ground (art. 237^2(1)(a)). We have not reconciled this 15-day rule with the 5-day rule of the Law 239/2025 list.
The courts portal offers a case search across the courts' rolls. We did not read the insolvency bulletin, so this guide promises no search of all litigation and insolvency. The insolvency status itself appears in the free ONRC status.
Why is the tax certificate not a public search?
The tax certificate (certificat de atestare fiscală) is not a lookup. A third party may ask the tax authority for it only with the taxpayer's express and unequivocal consent (art. 160(1) Fiscal Procedure Code). The same holds for documents on a taxpayer's position. The certificate lists overdue tax standing on the last day of the month before the request and not extinguished by the issue date (art. 158(2)). It is issued within 3 working days and usable up to 30 days (art. 158(5)). The certificate has a guide of its own, the ANAF tax certificate of a Romanian company.
In a share transfer the seller or the buyer may request it (art. V(2) Law 239/2025). Art. V(1) covers the shares of any SRL member since 9 March 2026 (OUG 13/2026, art. I). The balance date for the certificate issued after the transfer notification is the date of issue. That follows the draft of July 2026, not the adopted rule.
What does each check prove, and where is it blind?
The two tables below gather the blind spots of the sections above, one row per check. Nothing in them is a clearance. Each row says what a result proves and what it cannot show.

Four blind spots matter most. The free ONRC set omits the object of activity. The arrears list omits debts below its thresholds and lags the quarter end. The register shows the seller until the transfer is entered. The beneficial-owner register is closed to the general public.
In what order does a buyer run the checks, and when does the register show the buyer?
Get the keys
Take the name, J number and CUI from the seller's invoices, offers and other commercial documents. They must carry these (art. 74(1) Law 31/1990). Search by CUI where you can.
Run the free ONRC data,
or BRIS from another EU state.
Read the ANAF registers and the Ministry of Finance lookup
The arrears list is as at the last quarter end.
Check the Bulletin and the courts portal
for recent decisions, announced dissolutions and cases.
Order the paid ONRC extract
and, where needed, copies of filed acts or the negative certificate.
Ask for the seller-side documents,
the ANAF tax certificate among them, requested by the company or with its consent.
After signing, watch the entry
The company, the seller or the buyer notifies ANAF within 15 days. ONRC checks the notice conditions of Law 239/2025 when it records the transfer, so the notice goes first. The form and channel follow the draft of July 2026. ONRC enters the transfer, and only then does the register show the buyer (art. 203(2) Law 31/1990). The decision reaches the Bulletin within 3 working days. The beneficial-owner declaration is due within 15 days of the date the change occurred (art. 56(3) Law 129/2019).
A Bar-registered lawyer drafts the transfer deed and the resolutions. No notary is required (Law 31/1990). The company files at ONRC, or an attorney under a notarised power of attorney (or a lawyer's mandate). The registrar decides a complete filing within one working day (art. 105(1) Law 265/2022, 2022 text, later amendments not read). Every ANAF filing is made by the company, the seller or the buyer, or a CECCAR accountant or lawyer acting for them. We prepare the file.
No source we read makes a document a condition of steps 1 to 4 for a non-resident. We did not read the ONRC portal's own conditions. The extract of step 5 is issued in Romanian. We did not research its use abroad. In step 7, foreign official documents need an apostille or superlegalisation, unless a treaty or EU rule removes the formality. They always come with a legalised Romanian translation (art. 76 Law 265/2022).
These steps also fit a company offered from the Romanian SRLs on the current list with their prices. The record to look for shows a J number, a CUI, an EUID and a status. It also shows a VAT register entry where a VAT code is held. It shows no inactive entry or Bulletin dissolution notice. This is how to read a record. It is not a promise about any listed company.

From our practice. Mircea Pavel, transfers and shelf inventory lead, takes the name, J number and CUI from the seller's papers. Next come the free searches, in the order above. The results are set beside those papers. The deed goes to a Bar-registered lawyer, whom Mircea Pavel coordinates and never replaces.

Frequently asked questions
What is the Romanian company register called, and who keeps it?
The Trade Register (registrul comerțului). ONRC keeps it as a public institution under the Ministry of Justice, with county offices at the tribunals (art. 20(1)). It is public by law (art. 11(1) Law 265/2022, 2022 text). Commercial register, business register and company registry are other wordings for the same register.
Can I search a Romanian company for free?
Yes for the basic set. ONRC publishes it free, and through BRIS (art. 12(1)). It holds name, legal form, registered office, J number, EUID, CUI, status, website and legal representatives. ANAF's VAT, inactive and arrears pages and the Ministry of Finance lookup are free too. A search by CUI uses the number kept for the company's whole existence.
What does the free search not show?
The object of activity is free only to other member states' authorities (art. 12(3)). The free set carries no filed acts. Tax debts show in the ANAF arrears list at or above its thresholds, in the Ministry of Finance lookup's arrears records and in the tax certificate. A third party gets it only with the company's consent (art. 160(1)).
What is a certificat constatator and how do I get one?
ONRC's certificate of the registered data, issued in Romanian to anyone who asks and pays. You can ask at the desk, by post or courier, or online. It comes signed electronically or on paper (art. 11). The Minister of Justice sets the tariff by order (art. 11(7)). We read neither its figure nor an issue term.
Is there a certificate of incorporation in Romania?
The nearest document is the certificat de înregistrare, which carries the J number, CUI and EUID (art. 110(1)) and attests legal personality (art. 127(1)). It is the company's own document. A third party who wants proof of what the register holds orders the extract instead.
How do I search a Romanian company from another EU country?
Through BRIS on the e-Justice portal. BRIS must carry at least the EU minimum free set, status included (art. 19(2) Directive 2017/1132 as replaced by Directive 2019/1151). ONRC's information is also made available to the public through BRIS (art. 11(5) Law 265/2022). We have not read the live e-Justice page, so we describe no screens.
What is the EUID?
The European unique identifier: a country code, a register identifier and the registration number, with an optional verification digit. In ONRC's open data of 9 January 2026, read in part, the Romanian EUID is ROONRC. followed by the J number as printed. We did not read the Ministry of Justice order that fixes the Romanian structure (art. 10).
Can I see who really owns a Romanian company?
Not as a member of the public. The beneficial-owner register opens to authorities, to obliged entities doing customer due diligence, and to anyone showing a legitimate interest after online registration and a fee. That tier sees name, birth month and year, citizenship, residence country and the interest held. The Court of Justice ended general public access on 22 November 2022.
How do I check whether a company is VAT-registered?
Use ANAF's VAT register with the fiscal code. A cancelled registration appears in the separate register of cancelled registrations within 3 days of the communication of the decision (art. 316(15) Fiscal Code). The register shows whether a company is or has been VAT-registered, not what it filed. ANAF's web service also returns the legal basis of a cancellation.
How do I check whether a company is inactive or about to be dissolved?
Search ANAF's inactive register by fiscal code, or by name and county, and watch the Bulletin and the ONRC and ANAF dissolution lists. A taxpayer declared inactive and not reactivated within a year is dissolved (art. 92(4^1) Fiscal Procedure Code). Under Law 239/2025 the Bulletin carries that list at least 5 calendar days before the registrar is notified.
Does the ANAF debtors' list show a company's tax debts?
Only notified debts at a quarter end, published after the quarter closes. A debt shows only at or above 100,000 lei for an ordinary company (250,000 lei mid-size, 500,000 lei large). The fuller position is in the tax certificate. A third party obtains it only with the company's express consent (art. 160(1) Fiscal Procedure Code).
When does the register show me as the owner after a share purchase?
Only after ONRC enters the transfer (art. 203(2) Law 31/1990). The decision then reaches the free Bulletin within 3 working days (art. 15(2)-(3) Law 265/2022). The beneficial-owner declaration is due within 15 days of the change (art. 56(3) Law 129/2019). A search the day before the entry still shows the seller.
Is there a downloadable list of Romanian companies?
ONRC publishes an open-data file on data.gov.ro. The snapshot of 9 January 2026 holds, per company, the name, CUI, registration number, registration date, EUID, legal form, address, website and parent-company country. We read only part of the file, so we claim no completeness.
Does a clean search mean a company is safe to buy?
No search is a clearance. The free set omits the object and the filed acts. The arrears list omits debts below its thresholds and lags the quarter end. The register shows the seller until the transfer is entered. We did not confirm the coverage of insolvency and litigation searches. This guide gives no advice on a reader's case.
